These Terms of Service ("Terms") govern your access to and use of FoodCollab (the "Platform"), operated from Las Vegas, Nevada, United States. Please read them carefully. By creating an account or using the Platform, you agree to these Terms.
By creating an account on or otherwise using FoodCollab, you agree to be bound by these Terms and our Privacy Policy. If you are using the Platform on behalf of a business (such as a restaurant), you represent that you are authorized to bind that business to these Terms. If you do not agree, do not use the Platform.
FoodCollab is an online marketplace that connects restaurants with food influencers and content creators for marketing collaborations and dining visits. We provide discovery, scheduling, and messaging tools. We are a neutral venue: we are not a party to, and are not responsible for, any agreement, payment, content, or arrangement made directly between a restaurant and an influencer.
You must be at least 18 years old to use FoodCollab. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You agree to provide accurate, current information during registration and to keep it up to date. You are responsible for all activity that occurs under your account.
You agree not to: (a) post false, misleading, or fraudulent information, including fake follower counts or fabricated reviews; (b) harass, threaten, or harm other users; (c) use the Platform for any unlawful purpose or in violation of any applicable law, including FTC endorsement and disclosure guidelines for sponsored content; (d) attempt to access accounts or data that do not belong to you; (e) scrape, copy, or republish Platform content without our written permission; or (f) interfere with or disrupt the Platform’s operation or security.
Certain features may require a paid subscription. During any promotional or launch period expressly designated by FoodCollab, those features may be offered free of charge. When paid subscriptions are active, fees are stated at the point of purchase and are billed on a recurring basis (e.g., monthly) through our third-party payment processor, Stripe. By subscribing, you authorize us and Stripe to charge your payment method on a recurring basis until you cancel. We may change subscription prices with reasonable advance notice; changes apply to billing periods after the notice. All fees are in U.S. dollars and, unless stated otherwise, are exclusive of applicable taxes.
Paid subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You may cancel at any time through the subscription management portal in your dashboard. When you cancel, your subscription remains active until the end of the current paid period and will not renew thereafter. You will not be charged for periods after the one in which you cancel.
Except where required by applicable law, subscription fees are non-refundable, and we do not provide refunds or credits for partial billing periods or unused features. If you believe you were charged in error, contact us at foodcollab.app@gmail.com and we will review your request in good faith.
FoodCollab only provides tools for discovery, scheduling, and messaging. Any collaboration terms, compensation, complimentary meals, deliverables, timelines, or expectations are solely between the restaurant and the influencer. We do not guarantee any outcome, the quality of any content, attendance at any visit, or the conduct of any user. You engage with other users at your own risk and are responsible for your own tax and legal obligations arising from any collaboration.
You retain ownership of the content you submit (profile information, photos, messages, and other materials, "User Content"). By submitting User Content, you grant FoodCollab a non-exclusive, worldwide, royalty-free license to host, store, display, and use that content solely to operate, provide, and improve the Platform. You represent that you have the rights necessary to grant this license and that your User Content does not infringe any third party’s rights.
The Platform, including its software, design, logos, and the "FoodCollab" name, is owned by FoodCollab and protected by intellectual property laws. We grant you a limited, revocable, non-transferable license to use the Platform for its intended purpose. You may not copy, modify, reverse engineer, or create derivative works from the Platform without our written permission.
We rely on third-party providers to operate the Platform, including Stripe (payments), Supabase (database and authentication), Resend (email delivery), and Vercel (hosting). Your use of payment features is also subject to Stripe’s terms. We are not responsible for the acts or omissions of third-party providers.
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY INFORMATION PROVIDED BY USERS IS ACCURATE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FOODCOLLAB AND ITS OWNERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE PLATFORM. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE PLATFORM WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM, OR (B) USD $100.
You agree to indemnify and hold harmless FoodCollab and its owners from any claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising from your use of the Platform, your User Content, your violation of these Terms, or your dealings with other users.
These Terms are governed by the laws of the State of Nevada, without regard to its conflict-of-laws rules. Before filing any claim, you agree to first contact us at foodcollab.app@gmail.com and attempt to resolve the dispute informally for at least 30 days. Any unresolved dispute will be resolved by binding arbitration on an individual basis under the rules of the American Arbitration Association, seated in Clark County, Nevada. To the extent permitted by law, you and FoodCollab waive any right to a jury trial and to participate in a class action. You may opt out of this arbitration provision within 30 days of first accepting these Terms by emailing us.
We may suspend or terminate your account at our discretion if you violate these Terms, engage in fraudulent or abusive behavior, or harm the integrity of the Platform. You may stop using the Platform and delete your account at any time. Sections that by their nature should survive termination (including IP, disclaimers, limitation of liability, indemnification, and dispute resolution) will survive.
We may update these Terms from time to time. We will notify users of material changes through the Platform or by email and update the "Last updated" date above. Your continued use of the Platform after changes take effect constitutes acceptance of the updated Terms.
These Terms, together with our Privacy Policy, are the entire agreement between you and FoodCollab regarding the Platform. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
